The Law Clerk will be part of the Legal Department of Siemens Canada Limited. The Law Clerk will support on a wide range of corporate, regulatory and contractual matters relating to Siemens Canada Limited and other Siemens’ affiliates who carry on business in Canada. In addition to our lawyers, the Legal Dept. has a Legal Operations Manager who also performs law clerk functions, and the candidate will share some responsibilities with this individual.

What will you do?

  • Manage our corporate governance responsibilities, including updating and maintaining corporate records and manage corporate filings, open and maintain bank accounts, authorizing resolutions and other documents for commercial transactions

  • Assist with lobbying registration and reporting requirements

  • Provide corporate documents requested by auditors

  • Assist with litigation reporting

  • Assist with internal Risk and Internal Controls processes

  • Assist with regulatory reporting as required by various levels of government (Quebec AMP, Federal Integrity filings)

  • Review and manage contracts for Siemens’ various corporate departments

  • Assist with the review and approval process for law firm billings

What will you need to succeed?

  • Completion of Law Clerk program accredited by The Institute of Law Clerks of Ontario or comparable practical experience

  • Minimum 3 years of law clerk/paralegal experience

  • Knowledge of CBCA and other Canadian corporate laws, rules and regulations

  • Ability to independently manage corporate governance and secretarial matters including maintenance of minute books

  • Ability to independently draft legal documents and related correspondence

  • Digitally savvy; MS Office applications and administrative skills

  • Exemplary organizational skills and keen attention to detail

  • Self starter with ability to prioritize and independently manage a demanding workload involving multiple tasks, responsibilities and deadlines

  • Strong interpersonal and communication skills including ability to handle difficult or sensitive information in a tactful and confidential manner; and

  • Positive and friendly demeanor with a dynamic work ethic that is driven by performance excellence and ownership culture.

  • Ability to work in French would be an asset but is not a requirement.
